Item 8.01 Other Events.
On January 5, 2023, Wag! Group Co. (the “Company”), through its subsidiary Wag Labs, Inc., completed its previously announced acquisition of the Dog Food Advisor assets of Clicks and Traffic LLC (“Seller”) for cash consideration of $9 million.

On January 5, 2023, the Company issued a press release announcing the closing of the acquisition of the Dog Food Advisor assets of the Seller. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

(the "Company” or “Wag!”; Nasdaq: PET), which strives to be the #1 platform for busy pet parents, offering on-demand access to 5-star pet care, pet insurance options, and expert pet advice, today announced the successful completion of its acquisition of Dog Food Advisor assets from Clicks and Traffic LLC (“Dog Food Advisor”) for cash consideration of $9 million. The acquisition was previously announced on January 3, 2023 and will expand Wag!’s reach into the pet food and treats market of the pet industry.
